Purpose: To provide information on the proposed governance arrangements of the Local Authority Trading Companies and an overview of the different models of operational ADMs.

Content: (a)       That the Articles of Association for Flintshire Libraries and Leisure Limited and FCC HOLDCO Limited be endorsed;   (b)       That the appointment of an Elected Member as a Director of Flintshire Libraries and Leisure Limited be supported, to sit on the Board of Directors for the company; and   (c)        That the overall governance arrangements, as detailed in the report, be ratified.
