This meeting will discuss the recent resignation of Councillor Liz Leffman from the board of directors of Oxfordshire Local Enterprise Partnership (OxLEP), the appointment of new directors to the board, and proposed changes to the OxLEP Articles of Association.

Oxfordshire Local Enterprise Partnership

OxLEP is a local enterprise partnership, one of 38 set up across England to drive economic growth in local areas. Oxfordshire County Council is the 'sole member' of OxLEP, meaning it acts as a guarantor for the organisation and approves certain key decisions.

The Shareholder Committee will note the resignation of Councillor Liz Leffman from the OxLEP Board. Councillor Leffman, the Leader of the Council, resigned from her position at OxLEP to avoid conflicts of interest arising from the establishment of the Shareholder Committee.

As the Leader will now be a member of the Shareholder Committee she has resigned as a director of OxLEP.

Changes to the Articles of Association

The meeting will consider changes to the OxLEP Articles of Association.

To give effect to the Cabinet’s decisions there is a need to change the OxLEP Articles of Association and to appoint new company directors.

The Articles of Association of a company set out the rules for how the company is run.

Board Director Appointments

The meeting will also consider the appointment of an interim independent Chair of the OxLEP board, and the appointment of three non-executive directors to the board.

The council agreed at the cabinet meeting on 19 November that the new company board will be a board of three non-executive directors appointed by the Shareholder Committee.
