Purpose

To consider the adoption of an
updated set of Articles of Association for Blackpool Operating
Company Ltd in line with the decision of the Shareholder Committee
on 19 March 2025.
 

Decision

In accordance with Part 13 of the Companies
Act 2006, the following written resolution is passed as a special
resolution.
 

1.    
That pursuant to section 77 of the Companies Act
2006 and any other applicable provisions of the Act, the name of
the Company is changed from Blackpool
Operating Company Limited to Blackpool Tourism Limited, with effect
from the date on which the new name is registered by the Registrar
of Companies.
 

2.    
That pursuant to section 21 of the Companies Act
2006, the regulations contained in the document attached and marked
'A' and signed by the Chair of Blackpool Operating Company Ltd for
the purposes of identification, are adopted as the new Articles of
Association of the Company, in substitution for and to the
exclusion of all existing Articles.
 

3.    
That the Company Secretary is authorised to file all
necessary forms and documents with Companies House and to take any
necessary action to give effect to the above
resolutions.
