Purpose

To appoint two Cheshire East Council officers as directors of Cheshire

Decision

That the Director of Growth and Enterprise and the Head of Economic Development be appointed as Directors of Cheshire and Warrington DF (GP) Limited.

That the Head of Economic Development be appointed as Cheshire East Council’s representative to the Cheshire and Warrington Tourism Board, such appointment to be effected in accordance with the Articles of Association of the company.

Reasons for the decision

At present there is only one remaining director serving on the board of C&WDF Ltd, a company wholly owned by the Council. That director has recently retired from his post as the Chief Executive of ECW, and it is therefore essential that new directors are appointed to the board as soon as possible. It is a requirement of the Companies Act 2006 that every UK private limited company must have at least one director who is a natural person (an individual). Greater resilience will be provided by appointing more than one director. There may be a future need to appoint other directors, but this recommendation focuses on the immediate requirement to comply with company law.

CWTB is a company that is a wholly owned subsidiary of ECW Ltd and is therefore jointly owned by Cheshire East Council, Cheshire West and Chester Council and Warrington Borough Council. Unlike the other two councils, Cheshire East Council does not currently have a director appointed to the board of CWTB and this needs to be rectified to ensure Cheshire East Council’s interests as a shareholder are represented.
