This report recommends the Chief Finance
Officer agrees the final terms of the Cumbria County Holdings
Shareholder Agreement.  
 
For the reasons set out in the report, the
Chief Finance Officer is recommended to agree the final terms of
the Cumbria County Holdings Shareholder Agreement in the form set
out in Appendix 1 and the amendment to the Articles of Association
set out in Appendix 2 as result of the Shareholder’s
Agreement.
