Purpose
In 2019, the Council joined the Hertfordshire
Building Control Company, which was set up in 2016 by 7 other
Hertfordshire Authorities and is now wholly owned by the eight
authorities, (including Dacorum), in equal shares.
2. A recent governance review, carried out by the Governance
Steering Group of the company and supported by Trowers and Hamlins
Solicitors, has highlighted that the existing Shareholder’s
Agreement, which was originally agreed in 2016, would benefit from
review and amendment to ensure that it provides an appropriate
balance between shareholder control and providing operational
agility when required.
3. Amendments are therefore proposed which will amend the voting
requirements for some decisions which are currently reserved for
Shareholders only. The detail of the new proposals is explained in
the background to this note.
Decision
That the amendments to the Shareholder’s
Agreement as set out in section 5 of the report be agreed.
