Purpose

To consider the appointment of a non-executive director to Vecteo Ltd.

Decision

That the appointment of Vimal Amin as a non-executive director of the Vecteo Board, be approved.

Reasons for the decision

A recruitment campaign to fill the vacant non-executive director post, preferably with a qualified accountant, attracted 10 applicants. 3 were shortlisted for interview by a panel of Sacha Jevans, Adrienne Wright and Robert Kirton.

Following the interview, the panel selected. Vimal Amin (VA) for the role. VA is a qualified accountant with a background in school governance and community accessibility.

The appointment of Non-Executive Directors is a reserved matter for the Shareholder.

Alternative options considered

Option 1 – To approve the appointment of the Non-Executive Director (recommended option).

Option 2 – Do nothing. This would result in the Vecteo Board not being able to appoint replacement Non-Executive Director to the Board.
