Purpose

To make a Special Resolution to update the
Articles of Association for Nexxus Trading Services Ltd

Content

1. Nexxus Trading Services Ltd (Trading as
Nexxus Care) is a fully Council owned company providing a range of
adult social care services.

2. In October 2024 the Council:

a. Approved a Shareholder Agreement with Nexxus Care.
b. Appointed the Director of Health and Care as the Council’s
shareholder representative to oversee the Shareholder
Agreement.
c. Approved updated Articles of Association for Nexxus Care.

3. The Council needs to make a Special Resolution in order to file
these updated Articles of Association with Companies House.

4. The decision therefore is for a Special Resolution under Section
21(1) of the Companies Act 2006 as follows:

“THAT the articles of association attached to this resolution
be adopted as the articles of association of the Company in
substitution for and to the exclusion of the existing articles of
association of the Company.”
