Decision
That:
1) The Record of Endorsement of a Decision (set out below) relating to the following Reserved Matters of the Limited Liability Partnership Agreement (“LLP Agreement”) dated 25 March 2024 entered into between Bristol City Council, Homes England, West of England Combined Authority (“MCA”) and the LLP is approved by the MCA.
2) In accordance with clause 11.1 of the BTQ LLP Members’ Agreement (LLPA), dated 31 January 2025, the LLP is writing to all Members for the purpose that the LLP is authorised to approve:
a. Flow Down Agreement between (1) MCA and (2) the LLP (Reserved Matters 1.10, 1.11, 3.1 and 3.3);
b. Deed of Guarantee between (1) MCA and (2) Network Rail Infrastructure Limited (Reserved Matter 2.17);
c. Network Rail side letter between (1) LLP and (2) MCA (Reserved Matters 3.1 and 3.3);
d. Pre-Construction Services Agreement between (1) LLP and (2) Kier Construction Limited t/a Kier Construction – Western and Wales (Reserved Matter 2.14); and
e. Deed of Retirement between (1) LLP (2) Continuing Members and (3) The Homes and Communities Agency (Reserved Matter 3.1).
