Decision

RESOLVED:– That the Combined Authority Board (subject to the approved amendment to Appendix 7):

1. Approved its own terms of reference as set out at Appendix 1 of the submitted report.
2. Appointed the Governance and Audit Committee and the Scrutiny Committee with the terms of reference set out in the relevant appendices to the submitted report.
3. Appointed the Investment Board and Weaver Network Board with the terms of reference set out in the relevant appendices to the submitted report.
4. Appointed the Employment Panel with the terms of reference set out in Appendix 6 of the submitted report.
5. Noted the arrangements made by the Mayor and Chief Constable of West Yorkshire for the Joint Independent Audit Committee.
6. Appointed Local Authority members to the Governance and Audit Committee and Debbie Simpson as Independent Member and Chair, as set out in Appendix 7 (as amended), including:

·                     the switching of roles between Cllr Stephan Dransfield and Cllr John Hardie; Cllr Hardie becomes the Member and Cllr Dransfield the Substitute.

·                     the nomination of Cllr Cristiana Mirosanu political balance member and with Cllr Martin Hey as Substitute; and

·                     the nomination of Cllr Sam Harvey as Substitute Member to Cllr David Dews.

1. Appointed Local Authority members to the Scrutiny Committee as set out in Appendix 7 (as amended), including:

·                     the replacement of Cllr John Hardie with Cllr Jane Barraclough;

·                     the replacement of Cllr Mark Smith with Cllr Chris Kennedy; and

·                     the nomination of Cllr Steve Ashton as Member with Cllr Jacob Padgett as Substitute.

1. Appointed Combined Authority Board Members to decision-making committees as set out in Appendix 7 (as amended), including updated nominations to the Weaver Network Board.
2. Co-opted members to committees of the Combined Authority as set out in Appendix 7 (as amended).
3. Resolved that any Independent Member of the Governance and Audit Committee was a voting member of that committee.
4. Noted that any member of a Constituent Council appointed to the Scrutiny Committee had one vote, which could be exercised in their absence by their substitute.
5. Resolved that any co-optee from a Constituent Council on any ordinary decision-making committee (including their substitute) was a voting member of that committee (and of any sub-committee to which they might be appointed).
6. Appointed the Chairs and Deputy Chairs to committees as set out in Appendix 7 (as amended).
7. Resolved that Ian Brown and Carolyn Lord continued as Independent Persons in relation to complaints concerning allegations of a breach of the Combined Authority’s Members’ Code of Conduct on the existing terms for remuneration, until the Combined Authority’s annual meeting in 2027.
