Purpose

To consider any recommendations from Shareholder Executive Committee on 10 June 2026 regarding Woking Shopping Ltd – Wind Down Process and Governance Confirmation.

Decision

The Executive Resolved

That (i)   the dissolution of Woking Shopping Ltd be agreed; and

        (ii)  delegated authority be agreed for the Strategic Director of Finance and Resources / S151 Officer to undertake all actions required to give effect to the dissolution, including but not limited to:

·       closure of the company’s bank account and transfer of remaining funds to the Council;

·       notification to HMRC that the company is dormant for Corporation Tax;

·       preparation and submission of final accounts;

·       submission of necessary forms to Companies House to strike the company off the register.

Reason:  To consider the recommendations from the Shareholder Executive Committee.
