Purpose

To consider recommendations from Shareholder Executive Committee on 15 July 2026 regarding LAC 2021 Ltd – Wind Down Process and Governance Confirmation

Decision

The Executive Resolved

That (i)   the dissolution of LAC 2021 Ltd be agreed; and

        (ii)  delegated authority be agreed for the Strategic Director of Finance and Resources / s151 Officer to undertake all actions required to give effect to the dissolution, including but not limited to:

·         Relevant engagement with the other shareholders;

·         Notification to HMRC that the company is dormant for Corporation Tax;

·         Preparation and submission of final accounts;

·         Submission of necessary forms to Companies House to strike the company off the register.

Reason:  To consider the recommendations from the Shareholder Executive Committee.
