Summary
The Shareholder Reference Group (SRG) met to discuss the Redbridge Civic Services (RCS) work programme, performance, and director appointments. The meeting included an introduction to Lukasz Kulaga, the new RCS Managing Director, and a review of the company's annual accounts. Councillors also planned to discuss changes to the board of directors.
RCS Ltd Managing Director Report and Annual Accounts
The Shareholder Reference Group were scheduled to review the RCS Ltd Managing Director Report and Annual Accounts. The report included a final presentation from Richard Fassnidge, the outgoing RCS Managing Director, covering the period from February 2022 to March 2025.
Mr Fassnidge's presentation included:
- An overview of operational performance, including data on missed bins, container management, and bulky item collections. He noted that RCS supports the proposed upgrade to a full wheeled bin service, and that a 12-month garden waste service would prevent annual start-up challenges.
- A review of health and safety measures, including close call reporting and incident reporting numbers.
- An overview of human resources, including leadership, staff levels, and general HR practices. He noted that the management team is a good team, but must remain focused and will continue to need close support and ongoing development.
- A discussion of governance, including shareholder and client relationships, the internal board, and essential documentation.
- An assessment of vehicles and the workshop, highlighting improvements in fleet management.
- A summary of financial management, noting that the original RCS model had errors and that RCS is a value operating model to save costs.
The annual accounts included a balance sheet as of 31 March 2024, with key figures for fixed assets, current assets, and liabilities. The financial statements noted that the company had net liabilities of £24,306 as of that date.
The accounting policies outlined in the report stated that revenue from waste removal and treatment services is recognised when the services are provided, the amount of revenue can be measured reliably, and it is probable that the company will receive the consideration due under the contract.
The report also noted that the average monthly number of employees during the year was 150.
Changes to the Directors of Redbridge Civic Services Limited
The Shareholder Reference Group were scheduled to discuss changes to the directors of Redbridge Civic Services Limited. The report pack noted that the SRG has responsibility for agreeing to the appointment and removal of Directors.
The SRG were asked to approve the termination of Richard Fassnidge as a Director, and to approve the appointment of Lukasz Kulaga as Director.
The report pack included a supporting statement from James Bachmann, who was applying for the Non-Executive Director position at Redbridge Civic Services Ltd (RCS). Mr Bachmann wrote that he has 20 years of experience at the council, and that he felt his local knowledge was a huge strength, particularly regarding infrastructure and demographics.
The report pack also included a CV for Lukasz Kulaga, who has more than 20 years waste management and street cleansing experience.
Updated SRG Annual Work Programme 2025/2026
The Shareholder Reference Group were scheduled to consider and approve amendments to their 2025/2026 work programme. The proposed work programme included:

- Approval of the Annual Report and end of year Accounts
- A review of the SRG Work Programme
- A review of Company Governance including Boards of Directors: Composition & Skills
- A review of the Shareholder Agreement

RCS Quarterly performance report
The Shareholder Reference Group were scheduled to discuss the RCS Quarterly performance report. The report summarised the key points arising from the RCS quarterly report.
