Purpose

This report seeks approval to enter into a Deed of Variation to the Settlement Agreement (SA) (dated 12th September 2017) as subsequently amended between the Council, North London Waste Authority (“NLWA”) and London Energy Ltd (“LEL”).  The proposed Deed of Variation will amend some of the terms of the SA and will also amend the previously agreed form of ‘Replacement Lease’ (which the parties will enter into upon completion of the new Waste Transfer Station (“WTS”)).

The variation now proposed reflects the agreed commercial position on initial rent, rent review, the tenant break clause and the agreed approach to variations to the works which are necessary to deliver the WTS.
