Purpose

To receive and consider the recommendations of the report.

Decision

It was unanimously RESOLVED that the Shareholders Sub Committee:

1. 1     Noted: The EHN Operations Director Report dated 21 May 2026 and the officer's assessment of progress against each recommendation set out at section 4 of this report.
2. 2     Agreed: Operating controls resolved on 9 April 2026 remain in force until a Business Plan is approved
3. 3     Agreed: The company directors will produce financial information upon demand, to include monthly reports as set out in Appendix A.
4. 4     Noted: The company will produce a detailed request of additional investment from the shareholder to support any operational deficit. This will be detailed at the next shareholder meeting.

Reasons for the Decision:

To provide the officer wraparound to the East Hampshire Norse (EHN) Operations Director Report dated 21 May 2026, which sets out EHN's progress against the recommendations agreed by this Sub-Committee on 9 April 2026. It was submitted in the Sub-Committee's capacity as EHDC's shareholder representative in EHN.

Officers recommended that EHN's update report be noted, that the interim operating controls agreed on 9 April 2026 remain in force, with a pragmatic adjustment to the form of monthly operational budget reporting to align with Norse Commercial Services' management accounts cycle while preserving the substance of in-year shareholder oversight, and that the specific compliance and governance matters identified at section 4 of this report be addressed by EHN in writing in advance of the additional Sub-Committee meeting on 18 June 2026.
