Mayor, accept the recommendation of the Procurement Board and in
exercise of the powers contained within the Council Constitution do
hereby approve:

the novation of a
security and caretaker staffing contract, as originally awarded to
Profile Security Services Ltd commencing on the 01.07.24 to OCS Group Ltd for the remainder of

The Reasons are: to best
protect the interests of Salford City Council and enable the
continuing delivery of essential services.
 
Options considered and
rejected were:
the insourcing of staff via TUPE and the undertaking
of a new open tender procurement exercise.
 
Assessment of Risk: High
in the event we were unable to continue delivery of the associated
CCTV, City Watch and gateway services. .
 
The source of funding
is: Lot 1 – CCTV (F2800) / Lot 2 – City Watch (F2802) /
Lot 3 – Gateways.

When commissioning
contracts for the procurement of goods, services, or the execution
of works, the Council must comply with the Public Contracts
Regulations 2015 (PCR 2015) if applicable, the Procurement Act 2023
and its own Contractual Standing Orders (CSO’s), failing
which a contract may be subject to legal challenge from an
aggrieved provider. The three contracts in question here were let
under and while the PCR 2015 was in force, so are subject to the
requirements of the PCR 2015.
 
A novation of a
contract (an agreement replacing the original contractor to a
contract with a new contractor  who assumes all rights and
obligations under the contract) is specifically allowed as a
permissible contract variation under Regulation 72 of the PCR 2015
in the circumstances where a new contractor replaces the original
contractor as a consequence of succession into the place of the
original contractor following corporate restructuring including
takeover, merger, acquisition or insolvency provided that the new
contractor fulfills the original selection criteria used when the
contract was originally let. Assessments and tests have been done
to satisfy the Regulation 72 criteria in these cases and the
contract novations are considered to be compliant with the
requirements of Reg 72 of the PCR 2015.

Following the award of contract
to Profile which was tendered in 2023/24, OCS took over the assets
and we are seeking approval to carry on the awarded contract with
