The Buckinghamshire Shareholder Committee met on Wednesday 11 June 2025, and Councillor Robert Carington, Cabinet Member for Resources, was appointed as Chair for the ensuing year. The committee noted the annual report and terms of reference, and received updates on the risk registers and key performance indicators (KPIs) of Consilio and Aylesbury Vale Estates (AVE). A discussion regarding the future options for Consilio Property Ltd was held, and a report will be presented to the Cabinet for consideration, subject to suggested changes.
Consilio and Aylesbury Vale Estates Risk Registers and KPI Updates
The committee received updates on the risk registers and key performance indicators (KPIs) from Consilio and Aylesbury Vale Estates.
Ian Barham and David Pearce, Company Directors of Consilio, along with Joanne Kingsnorth, Managing Director of Seymour Taylor, presented Consilio's Risk Register and KPI update. Councillor Mark Winn, Board Member of Aylesbury Vale Estates, presented the Aylesbury Vale Estates Risk Register and KPI update. Following detailed discussions, the committee noted both updates.
Buckinghamshire Shareholder Committee Annual Report and Terms of Reference
The committee noted the Buckinghamshire Shareholder Committee Annual Report 2024/25 and the committee's Terms of Reference. These were presented for the benefit of committee members newly appointed in May 2025. The annual report had been delayed due to local elections and was scheduled to be considered by the Cabinet on 8 July 2025.
Members discussed progress on recommendations from an internal audit undertaken during 2023/24. They were advised that an action plan was regularly presented to the committee, with a review of company articles of association scheduled for the next meeting.
A training session on the roles and responsibilities of company directors and shareholder committee members was scheduled for later in the year. It was agreed that this training would be mandatory for newly appointed committee members and recently appointed company directors, and advisory for continuing members and directors.
Consilio Property Ltd Options
The committee held a confidential discussion regarding the future options of Consilio Property Limited, due to commercial sensitivities. Following the discussion, the committee agreed that a report would be presented to Cabinet for consideration, subject to suggested changes from the committee being reflected in the report.
Other Business
- Confirmation of Chairman: Councillor Robert Carington, Cabinet Member for Resources, was appointed Chairman of the Shareholder Committee for the ensuing year, in line with the committee's Terms of Reference.
- Apologies for Absence: Apologies were received from Councillors Carl Jackson and Peter Strachan, as well as Councillor John Chilver, Richard Harrington, Lisa Michelson (Buckinghamshire Advantage Directors), and Mark Preston (Aylesbury Vale Estates Board Member).
- Minutes of the Previous Meeting: The minutes of the meeting held on 12 March 2025 were approved as an accurate record.
- Forward Plan: The committee noted the forward plan.
- Date of Next Meeting: The next meeting was scheduled for Wednesday 15 October 2025 at 2 p.m.
- Exclusion of the Public: It was resolved that the public be excluded from the meeting under Section 100(A)(4) of the Local Government Act 1972[^1], due to the likely disclosure of exempt information. [^1]: Section 100(A)(4) of the Local Government Act 1972 allows local authorities to exclude the public from meetings when confidential or exempt information is being discussed.
- Confidential Minutes of the Previous Meeting: The confidential minutes of the meeting held on 12 March 2025 were approved as an accurate record.
- Buckinghamshire Advantage Risk Register: Consideration of the Buckinghamshire Advantage Risk Register was deferred to a future meeting.
